Membership Agreement

1. PARTIES

1.1 This Membership Agreement ("Agreement") is entered into between AEVEN Collective Limited, a company registered in England and Wales with company number 17089530 and registered address at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ ("AEVEN", "we", "us", or "our"), and any individual who applies for and is accepted as a member of the AEVEN community ("Member", "you", or "your").

2. DEFINITIONS

2.1 In this Agreement, unless otherwise stated:

  • "Directory" means the opt-in AEVEN Directory in which Trade Members and Public Members may be listed with their professional information.

  • "Events" means all events organised or promoted by AEVEN, including workshops, talks, networking evenings, exhibition tours, and ticketed events.

  • "Membership Number" means the unique reference number issued to each Member upon acceptance of their application.

  • "Public Member" means a Member who joins AEVEN as a design enthusiast or supporter of British creative culture.

  • "Services" means all services, benefits, and access provided to Members, including community access, Events, thought leadership content, and potential Directory listing.

  • "Term" means the initial 12-month period from the date of acceptance of the Member's application, and any subsequent consecutive 12-month renewal period(s).

  • "Trade Member" means a Member who has demonstrated professional credentials as an interior design professional.

3. MEMBERSHIP APPLICATION AND ACCEPTANCE

3.1 To become a Member, you must complete AEVEN's application form and provide such information as we request, including evidence of professional credentials if applying as a Trade Member.

3.2 Your application will be reviewed by AEVEN at our discretion. We reserve the right to accept or decline any application without obligation to provide reasons.

3.3 Upon acceptance of your application, you will receive confirmation by email together with your unique Membership Number. Membership commences from the date of this acceptance.

4. MEMBERSHIP TERM

4.1 Your membership will last for an initial term of 12 months from the date of acceptance ("Initial Term").

4.2 At the end of the Initial Term and each subsequent Term, your membership will automatically renew for a further 12-month period, unless either you or AEVEN provide 30 days' written notice of non-renewal to the other party before the renewal date.

4.3 Membership is provided free of charge. However, AEVEN reserves the right to introduce membership fees for future membership periods with at least 60 days' prior written notice before the renewal date.

5. MEMBERSHIP BENEFITS

5.1 As a Member, you will have access to the following Services:

  • Access to the AEVEN community and events programme;

  • Invitations to curated Events, including workshops, talks, networking evenings, and exhibition tours;

  • Access to thought leadership content and industry insights;

  • Priority or early access to ticketed Events;

  • Eligibility to be listed in the AEVEN Directory on an opt-in basis, subject to explicit consent under UK GDPR.

5.2 Trade Members may additionally benefit from:

  • Professional visibility through the AEVEN Directory;

  • Potential editorial features and visibility within AEVEN's thought leadership content;

  • Networking opportunities with peer professionals within the interior design community.

5.3 The Services may vary from time to time and between Trade and Public Membership tiers. AEVEN reserves the right to modify, add, or withdraw any of the Services or benefits listed above, provided that we will give reasonable notice of material changes.

6. DIRECTORY LISTING

6.1 Inclusion in the AEVEN Directory is entirely optional and separate from your membership. It requires your explicit, informed consent, which will be sought independently from your membership acceptance.

6.2 If you consent to a Directory listing, we will display the following information: your name, professional discipline, location, and website link (if provided).

6.3 You may withdraw your consent to Directory listing at any time by emailing us at hello@aevencollective.com with your Membership Number and full name. Your listing will be removed within 30 days of your request.

6.4 AEVEN does not guarantee any particular level of visibility, number of enquiries, or business opportunities resulting from Directory listing. The Directory is provided on an "as is" basis.

7. MEMBER CONDUCT

7.1 You agree to conduct yourself respectfully and professionally at all AEVEN Events and in all AEVEN community spaces, including online platforms and forums.

7.2 You must not engage in conduct that is discriminatory, harassing, defamatory, or otherwise harmful to other Members, AEVEN staff, or the integrity of the AEVEN community.

7.3 You must not use your AEVEN membership, the AEVEN community, or any AEVEN platform for unsolicited commercial solicitation, spam, or self-promotion without prior authorisation from AEVEN.

7.4 You must not misrepresent your credentials, professional qualifications, or professional status in your application, Directory listing, or communications within the community.

7.5 AEVEN reserves the right to remove any content posted by you within the community that we consider to be inappropriate, offensive, misleading, or in breach of this Agreement.

8. SUSPENSION AND TERMINATION

8.1 AEVEN may suspend or immediately terminate your membership at its discretion if:

  • You breach any material term of this Agreement;

  • Your conduct is disruptive, unlawful, or damaging to the AEVEN community;

  • You have misrepresented your credentials or professional status;

  • You breach any terms and conditions or policies applicable to AEVEN's Services.

8.2 AEVEN will endeavour to provide reasonable notice of suspension or termination and an opportunity for you to respond, except where AEVEN reasonably considers the matter to be serious or requires immediate action.

8.3 You may terminate your membership at any time by providing written notice to hello@aevencollective.com. Termination will take effect on the date specified in your notice or immediately if no date is specified.

8.4 Upon termination or suspension of your membership (whether by you or AEVEN):

  • Your access to all member-only content, Services, and Events will cease immediately;

  • Your Directory listing (if any) will be removed;

  • Your Membership Number will be deactivated.

9. INTELLECTUAL PROPERTY

9.1 AEVEN retains all intellectual property rights in all content, materials, branding, and Service offerings created, developed, or provided by AEVEN, including but not limited to texts, images, designs, logos, and thought leadership content.

9.2 You may not use AEVEN's name, logo, or branding for any purpose without our prior written consent.

9.3 Any content, materials, or information shared by you within the AEVEN community remains your intellectual property. However, by sharing such content, you grant AEVEN and other Members a non-exclusive, royalty-free licence to use, reproduce, and distribute your content within the AEVEN community and for AEVEN's business purposes, in accordance with our Terms and Conditions and Privacy Policy.

10. DATA PROTECTION

10.1 AEVEN processes your personal data in accordance with the UK General Data Protection Regulation (GDPR), the Data Protection Act 2018, and our Privacy Policy.

10.2 By accepting this Agreement, you consent to AEVEN processing your personal data as set out in our Privacy Policy, including for the purposes of managing your membership, delivering Services, and communicating with you about Events and community updates.

10.3 Your consent to Directory listing is separate and specific. If you consent to a Directory listing, you are providing explicit consent for AEVEN to display your name, professional discipline, location, and website link. You may withdraw this consent at any time.

11. LIABILITY

11.1 AEVEN provides membership and all Services on an "as is" basis. We make no warranties or representations regarding:

  • The quality, accuracy, or completeness of any Services or content;

  • Any particular business outcomes, professional advancement, or opportunities resulting from membership;

  • The conduct, credentials, or professionalism of other Members.

11.2 Except in respect of matters where liability cannot be excluded under applicable law, AEVEN's total liability to you arising from or related to this Agreement, your membership, or the Services shall be limited to the greatest extent permitted by law.

11.3 Nothing in this Agreement excludes or limits AEVEN's liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

12. GENERAL

12.1 This Agreement, together with AEVEN's Terms and Conditions and Privacy Policy, constitutes the entire agreement between us relating to your membership, and supersedes all prior agreements, negotiations, and understandings.

12.2 If any provision of this Agreement is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it valid and enforceable, and all other provisions will remain in full force and effect.

12.3 AEVEN's failure to enforce any right or provision of this Agreement is not a waiver of that right or provision.

12.4 AEVEN may assign or transfer this Agreement and your membership to any third party without notice. You may not assign or transfer your membership to any other person, as membership is personal to you.

12.5 A person who is not a party to this Agreement has no right to enforce any of its terms under the Contracts (Rights of Third Parties) Act 1999.

13. GOVERNING LAW

13.1 This Agreement is governed by the laws of England and Wales, without regard to its conflict of laws principles.

13.2 You and AEVEN irrevocably submit to the exclusive jurisdiction of the courts of England and Wales for any dispute, claim, or legal proceeding arising from or related to this Agreement or your membership.

15. EFFECTIVE DATE

15.1 This Membership Agreement comes into effect on 1 April 2026 and applies to all memberships accepted from that date onwards.
